The Legal & Policy Team is Snap’s dedicated in-house law firm, policy consultant, lobbyist, thought partner, and all-around advisor. This team helps Snap do the right thing the right way, make better decisions, understand and manage risks, and creatively navigate challenges, both external and internal. We partner with Snap team members on a wide array of matters, including privacy, product, IP, commercial transactions, corporate governance, employment, acquisitions, litigation, and policy, and social impact. We’re looking for an experienced Senior Counsel to join Snap Inc.! You will play a key role in partnering with and advising the Legal, Finance, Strategy, People, and other cross-functional teams on cutting edge legal issues globally. This is a great opportunity for a seasoned attorney to join a dynamic legal team in a company that prides itself on being smart, kind, and creative. 

 

What you’ll do:

  • Advise on Snap’s equity compensation, benefits programs, and insider trading prevention initiatives, including developing Snap’s training, policies, and practices to promote awareness and compliance with rules and regulations.

  • Manage corporate governance and administration with certain Snap Inc. board of director committees, including preparing materials, presenting topics, and administering corporate records for compensation, equity, and other special board committees.

  • Prepare and review SEC filings for executive compensation and Section 16 officer trading, such as Forms 3, 4, 5, and 10-K, and advise on other related securities law matters.

  • Assist cross-functional efforts to support environmental, social and governance matters, including assisting with any corporate responsibility reports.

  • Develop strong relationships across the company by collaborating with cross-functional teams, including executive team, finance, tax, sales, marketing, stock administration, philanthropy, communications, people, and engineering. We operate as one team and we can only be successful if we are all successful. Be ready to learn about new areas of the business so you can jump in to support.

  • Manage and advise on bespoke transactions, including developing structures, documents, and agreements. For many things that we do, there isn’t a template or form, so you’ll need to draw from your legal knowledge and experience to craft the right document or structure for Snap. 

  • Ensure Snap stays abreast with current and anticipated regulations as well as industry best practices.

  • Advise clients on business and legal issues and risks, company policies, sales and marketing materials, and business strategy. You will wear multiple hats at the same time to find and implement the right solution for Snap.

  • Be ready to participate in company initiatives and take on anything that comes your way! Team members will need to think fast on their feet, clearly communicate a business rationale, gain internal support, and guide business teams to the best solution for Snap.  

 

Knowledge, Skills, and Abilities

  • Strong business judgment, and the ability to find practical and creative solutions to both legal and business problems. 

  • Collaborative team player with a positive attitude.

  • Excellent interpersonal skills, with a strong commitment to integrity.

  • Ability to dissect and clearly communicate complex legal topics in a simple, actionable manner.

  • Willing and able to roll up your sleeves and jump right in to support the team.

  • Detail-oriented, business-friendly, and a team player, with an ability to accommodate tight deadlines in an evolving and fast-paced environment.

 

Minimum qualifications:

  • J.D. from an accredited university

  • Active membership in at least one state bar

  • 8+ years of experience practicing corporate law

  • At least one year as in-house counsel

Compensation

In the United States, work locations are assigned a pay zone which determines the salary range for the position. The successful candidate’s starting pay will be determined based on job-related skills, experience, qualifications, work location, and market conditions. The starting pay may be negotiable within the salary range for the position. These pay zones may be modified in the future.

Zone A (CA, WA, NYC):

The base salary range for this position is $251,000-$377,000 annually.


 

Zone B:

The base salary range for this position is $238,000-$358,000 annually.

Zone C:

The base salary range for this position is $213,000-$320,000 annually.

This position is eligible for equity in the form of RSUs.
